1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and EasiSplit, a sole trader business operating under the laws of England and Wales ("we", "us", or "our"). By accessing or using our expense splitting platform ("Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

3. Description of Service

EasiSplit provides an expense splitting and group financial management platform that allows users to: Create expense groups and invite members, Record and categorize shared expenses, Calculate debt settlements between group members, Track payment histories and balances, Access premium features through paid subscriptions.

4. User Accounts and Registration

4.1 Account Creation

To use our Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Eligibility

You must be at least 16 years old to use our Service. Users between 16-18 years old must have parental or guardian consent. By creating an account, you represent that you meet these age requirements.

4.3 Account Security

You must immediately notify us of any unauthorized use of your account or any other breach of security. We are not liable for any loss or damage arising from your failure to protect your account information.

5. Acceptable Use Policy

5.1 Permitted Use

You may use our Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner consistent with any applicable local, national, or international laws or regulations.

5.2 Prohibited Activities

You agree not to: Use the Service for any fraudulent or illegal activities, Violate any applicable laws, regulations, or third-party rights, Attempt to gain unauthorized access to our systems or other users' accounts, Upload or transmit viruses, malware, or other harmful code, Interfere with or disrupt the integrity or performance of the Service, Create false identities or impersonate others, Use automated scripts or bots to access the Service, Reverse engineer, decompile, or attempt to extract source code.

6. Subscription Plans and Payment Terms

6.1 Subscription Plans

We offer both free and premium subscription plans. Premium features and pricing are displayed on our website and within the Service. We reserve the right to modify our pricing and plan features with reasonable notice.

6.2 Payment Processing

All payments are processed securely through Stripe. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. We do not store your full payment card details on our servers.

6.3 Billing and Renewals

  • Subscriptions automatically renew unless cancelled before the renewal date
  • You will be charged on the renewal date unless you cancel your subscription
  • We will notify you of upcoming renewals via email
  • Price changes will be communicated at least 30 days in advance

6.4 Taxes

You are responsible for any applicable taxes, including VAT where required. Prices displayed may be exclusive of applicable taxes, which will be added at checkout as required by law.

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including its software, design, text, graphics, and other content, is owned by EasiSplit and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Service without our written permission.

7.2 Your Content

You retain ownership of any content you submit to the Service (expense data, group information, etc.). By using the Service, you grant us a license to use, store, and process your content solely for the purpose of providing the Service to you and other group members as necessary.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about our Service may be used by us without any obligation to compensate you.

8. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which forms part of these Terms. By using our Service, you consent to the collection and use of your information as described in our Privacy Policy.

9. Service Availability and Modifications

9.1 Service Availability

We strive to maintain high service availability but cannot guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or other operational reasons with reasonable notice where possible.

9.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. For significant changes affecting premium subscribers, we will provide at least 30 days' notice.

10. Limitation of Liability

To the fullest extent permitted by law, EasiSplit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, regardless of the theory of liability and whether or not we have been advised of the possibility of such damages.

Our total liability to you for all claims arising from or relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.

11. Indemnification

You agree to indemnify, defend, and hold harmless EasiSplit from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Service, your violation of these Terms, or your violation of any rights of another party.

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at hello@easisplit.com or through the account settings in the Service. Upon termination, your access to premium features will cease immediately.

12.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users, or is harmful to us or the Service.

12.3 Effect of Termination

Upon termination, your right to use the Service will cease immediately. We will retain your data in accordance with our Privacy Policy and applicable law. Provisions of these Terms that by their nature should survive termination shall survive.

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13.3 Consumer Rights

If you are a consumer, nothing in these Terms affects your statutory rights under UK consumer protection law, including your rights to cancel distance contracts during the cooling-off period.

14. Compliance with Stripe Requirements

As we use Stripe for payment processing, the following additional terms apply:

  • You must comply with Stripe's Terms of Service and Acceptable Use Policy
  • Chargebacks and disputes will be handled in accordance with Stripe's policies
  • We reserve the right to refuse service for prohibited activities under Stripe's guidelines
  • Payment processing is subject to Stripe's fraud detection and prevention measures

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and EasiSplit regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.

15.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.
